Welcome to Zenith! The terms “we”, “us” and “our” refer to BALI FALLZ INC, operating under the brand name Zenith. BALI FALLZ INC owns and operates this website and online store, including all related information, content, features, tools, products, and services (collectively, the “Services”).

Zenith is powered by Shopify, which provides the e-commerce platform enabling us to offer products and services to you. These Terms of Service (the “Terms”) govern your access to and use of our Services, including browsing our website, making purchases, and interacting with our content.

By accessing, visiting, or purchasing from our website, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services. These Terms apply to all users, including browsers, vendors, customers, merchants, and contributors of content.

SECTION 1 – ACCESS AND ACCOUNT

To use certain features of our Services, you may be required to create an account. By creating an account, you agree to:

  • Provide accurate, current, and complete information during registration and checkout;

  • Maintain and promptly update your information to keep it accurate and complete;

  • Keep your account credentials secure and confidential; and

  • Accept responsibility for all activities under your account.

You may not transfer, assign, or sell your account to another party without our written consent. If we believe information you provide is false, incomplete, or violates these Terms, we may suspend or terminate your account.

By agreeing to these Terms, you confirm you are at least the age of majority in your jurisdiction of residence. If you permit a minor dependent to use your account, you remain fully responsible for their actions and compliance with these Terms.

SECTION 2 – OUR PRODUCTS

We make every effort to ensure product descriptions, images, and details are accurate. However, due to factors such as device display differences, variations in manufacturing, or supply chain updates, actual product appearance may differ slightly from images or descriptions provided.

We reserve the right to:

  • Modify or discontinue any product without notice;

  • Limit the sale of products to specific regions, jurisdictions, or individuals;

  • Restrict product quantities or apply purchase limits per customer.

We do not warrant that product quality, performance, or results will meet your expectations. All representations made about products are general in nature and not guarantees of specific outcomes.

SECTION 3 – ORDERS

Placing an order constitutes an offer to purchase. BALI FALLZ INC reserves the right to accept or reject any order at its sole discretion. An order is not binding until we confirm acceptance and payment is processed in full.

We may refuse or cancel orders if we suspect:

  • Fraudulent or unauthorized payment activity;

  • Orders placed for resale or commercial distribution;

  • Inaccuracies in product or pricing information;

  • Limited product availability.

You are responsible for reviewing all details prior to confirming your order. Once placed, orders cannot always be modified or canceled. Our Refund Policy governs all returns and exchanges.

SECTION 4 – PRICES AND BILLING

All prices are listed in USD unless otherwise specified. Prices may change without notice. Promotions, discounts, or coupons may be subject to separate conditions, which take precedence in the event of conflict.

You agree to provide current and valid payment information at checkout. By submitting payment details, you represent and warrant that you:

  • Are authorized to use the payment method provided;

  • Authorize us to charge your payment method for the full order amount;

  • Will honor all charges, including taxes, shipping, and fees.

If your payment is declined, we are not obligated to fulfill the order. We reserve the right to limit or cancel orders placed using the same billing address, shipping address, or payment method.

SECTION 4A – BILLING TERMS (VIP MEMBERSHIP)

 By placing your monthly recurring order of our VIP Club, you will be charged $49.99 USD now and every 30 days thereafter until you cancel your subscription. You will receive an electronic notification 5 to 7 days prior to your transaction and a receipt after each successful transaction.

If you affirmatively accept the optional Zenith VIP offer at checkout, you agree to enroll in a monthly, automatically renewing membership (the “VIP Membership”). By enrolling, you authorize BALI FALLZ INC to charge the payment method you provide at checkout for the VIP price disclosed at checkout (plus applicable taxes and fees) once every 30 days until you cancel.

Your first VIP charge will occur on the date you enroll. Subsequent charges will recur approximately every 30 days thereafter. The exact VIP price and any promotional terms are shown at checkout and in your order confirmation; pricing may vary by offer and will always be presented to you before you enroll.

You can cancel anytime before the next renewal by contacting our support team via the Contact page or emailing contact@support-zenith.com. Cancellations take effect at the end of your current paid term; partial-period refunds are not provided unless required by law.

If you do not accept the VIP offer, your purchase will be processed as a one-time sale and you will not be enrolled in recurring billing.

You agree to keep your billing information current. If a payment fails, we may attempt to process it again and/or contact you to update your details. We reserve the right to terminate or not renew the VIP Membership at our discretion.

SECTION 4B – BILLING TERMS (ONE-TIME PURCHASES)

If you choose a one-time purchase at checkout and do not accept the optional VIP offer, you will be charged only once for the total amount displayed at checkout (including applicable taxes, shipping, and fees). No additional or recurring charges will be made to your payment method after this one-time transaction.

All one-time purchase payments are processed immediately upon order confirmation. Your payment authorizes BALI FALLZ INC to charge the total shown at checkout to your selected payment method. Once payment is approved, your order will be fulfilled in accordance with our Shipping Policy.

By completing a one-time purchase, you acknowledge that the transaction is not part of any subscription or recurring billing plan. If you later decide to join the VIP Membership, you will need to opt in separately and authorize future recurring payments as outlined in Section 4A.

SECTION 5 – SHIPPING AND DELIVERY

We will arrange shipment of products to the address you provide at checkout. Estimated delivery times are for convenience only and are not guaranteed. Delays may occur due to:

  • Carrier issues;

  • Customs inspections or import restrictions;

  • Force majeure events such as weather, natural disasters, or labor strikes.

Once products are handed to the carrier, title and risk of loss transfer to you. We are not liable for stolen, delayed, or damaged shipments once in transit. Customers are responsible for any customs duties, taxes, or import fees applied by their jurisdiction.

SECTION 6 – INTELLECTUAL PROPERTY

All content on the Services—including trademarks, trade names, designs, logos, text, product descriptions, images, videos, and code—is the exclusive property of BALI FALLZ INC, Zenith, or its licensors.

You are granted a limited, non-exclusive, revocable license to access and use the Services for personal, non-commercial purposes only. You may not:

  • Copy, reproduce, or distribute any content without prior written consent;

  • Create derivative works or reverse-engineer the website;

  • Use our trademarks, logos, or brand assets without authorization.

Unauthorized use may violate copyright, trademark, or intellectual property laws and could result in legal action.

SECTION 7 – OPTIONAL TOOLS

We may provide you with access to third-party tools or software over which we have no control. These are provided “as is” without any warranties or guarantees. You acknowledge and agree that we are not liable for your use of third-party tools, and it is your responsibility to review their terms of use before engaging.

SECTION 8 – THIRD-PARTY LINKS

Our Services may contain links to third-party websites, applications, or services. We are not responsible for examining or evaluating third-party materials, nor do we assume any liability for your interactions with them. Accessing such sites is at your own risk, and you should review their policies before transacting.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Zenith is powered by Shopify. While Shopify provides the e-commerce infrastructure, all sales are made directly with BALI FALLZ INC. Shopify is not responsible for product fulfillment, refunds, or disputes arising from your purchases. You expressly release Shopify from any liability related to your transactions with us.

SECTION 10 – PRIVACY POLICY

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. Because Shopify hosts our website, Shopify may also collect and process information. By using the Services, you consent to our and Shopify’s handling of your data as described.

SECTION 11 – FEEDBACK

Any ideas, suggestions, or reviews submitted to us may be used without restriction. By submitting such content, you grant us a worldwide, royalty-free, perpetual license to use, modify, publish, or distribute it in any medium. You represent and warrant that your submissions do not infringe third-party rights and comply with applicable laws.

SECTION 12 – ERRORS, INACCURACIES, OMISSIONS

Occasionally our Services may contain information that includes typographical errors, inaccuracies, or omissions relating to pricing, promotions, or availability. We reserve the right to correct errors and update or cancel orders without prior notice, even after an order is submitted.

SECTION 13 – PROHIBITED USES

You agree not to misuse the Services. Prohibited conduct includes but is not limited to:

  • Engaging in unlawful, fraudulent, or harmful activity;

  • Violating intellectual property rights;

  • Uploading viruses, malware, or harmful code;

  • Impersonating another person or misrepresenting affiliation;

  • Collecting data from other users without consent;

  • Attempting to bypass security features or gain unauthorized access.

Violation of these rules may result in suspension or termination of your access to the Services.

SECTION 14 – TERMINATION

We reserve the right to suspend or terminate your access to the Services at our discretion, without prior notice, if you violate these Terms or applicable laws. Upon termination, your obligations, including payment of outstanding amounts, remain enforceable.

SECTION 15 – DISCLAIMER OF WARRANTIES

The Services and all products are provided “as is” and “as available,” without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted, secure, error-free, or that results from products will meet your expectations.

SECTION 16 – LIMITATION OF LIABILITY

To the fullest extent permitted by law, BALI FALLZ INC, Zenith, its affiliates, officers, employees, and Shopify shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, data loss, or business interruption, even if advised of such possibilities.

SECTION 17 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BALI FALLZ INC, Zenith, Shopify, and their affiliates, officers, employees, and agents against any claims, damages, liabilities, or expenses arising out of your use of the Services, violation of these Terms, or infringement of third-party rights.

SECTION 18 – SEVERABILITY

If any provision of these Terms is held unenforceable, the remaining provisions will remain valid and enforceable to the fullest extent allowed by law.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

Failure to enforce any right under these Terms does not constitute a waiver of such right. These Terms and posted policies constitute the entire agreement between you and BALI FALLZ INC, superseding prior agreements or understandings.

SECTION 20 – ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer our rights and obligations without notice.

SECTION 21 – GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the jurisdiction where BALI FALLZ INC is headquartered. You consent to the exclusive jurisdiction of courts in that jurisdiction for resolution of disputes.

Section titles are provided for convenience only and do not affect interpretation.

SECTION 23 – CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website with a revised effective date. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
